2. Winner Selection: A Random Drawing will be held for the First Prizes and Grand Prize on or around December 5, 2002. Potential Instant winners will be notified instantly by means of a pop up message. The prizes are guaranteed to be awarded and will be shipped to winners via USPS. Please allow 6-8 weeks from the end of the “Game”/Sweepstakes to receive your prize.
3. Prizes: The prizes are as follows: up2speedSM Sweepstakes for the SBC Cotton Bowl Prizes: (1) One Grand Prize 3-Day, 2-Night package to include: Round Trip Coach Airfare for 4 to the SBC Cotton Bowl in Dallas, Texas from major airport closest to winners home on December 31, 2002-January 2, 2003. Two Nights' accommodations at the Wyndham Anatole Dallas Hotel including hotel taxes and based on quad occupancy (One Room). Along with Four tickets to the SBC Cotton Bowl - Lower Corners and $500.00 Spending Money. ARV: $5200.00. (4) Four First Prizes - Foosball Tables: ARV $500.00. Instant Win Prizes: (350) Binoculars: ARV $6.90. (250) Soft Sport Footballs: ARV $4.50. (200) Mousepads: ARV $2.65. Prizes are non-transferable, with no cash redemption or equivalent, except at the sole discretion of the Sponsor. Sponsor reserves the right to substitute a prize or prize component of equal or greater value should a prize or any component of a prize become unavailable. Unclaimed prizes not awarded in the instant win game (if any) will be made available in a second chance drawing. The second chance drawing will be held on or about December 15, 2002. Winners are responsible for payment of taxes on prizes and for any other expenses relating to the use of prizes. 4. Prize Restrictions: Limit one instant win prize and one first prize per entrant. No substitution or transfer of prizes permitted except at sole discretion of SBC. Substitution of a prize of equal or greater value may occur at SBC's discretion.
5. Eligibility: Sweepstakes open to residents of AR, CA, CT, KS, IL, IN, MI, MO, OH, OK, TX, and WI who are legal U.S. residents and at least 18 years of age. Employees of SBC, its affiliates, prize suppliers, advertising and production agencies of SBC, and their immediate families (spouse, parents, children and siblings, and their spouses) and individuals living in the same household of such employees are ineligible. Instant Win "Game" and Sweepstakes is subject to all applicable federal, state, local laws, and regulations. By participating, entrants agree to these official rules.
Where permitted by law, winners grant (and agree to confirm that grant in writing) to Sponsor, and those acting pursuant to Sponsor's permission, the right at any time to print, publish, broadcast, and use, worldwide in any media now known or hereafter developed, including but not limited to the World Wide Web, winner's name, portrait, picture, voice, likeness, and biographical information as news or information and for advertising, trade, and promotional purposes without additional consideration, and without review, notice, or approval. By accepting a prize, each winner, and all entrants, release and agree to hold harmless Sponsor, Digital Impact, UMS Fulfillment, Inc., and each of their parents, affiliates, subsidiaries, and advertising and promotion agencies and their respective directors, officers, employees, representatives, and agents from any and all liability for any injuries, loss, or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in any "Game"/Sweepstakes related activity, or participation in this "Game"/Sweepstakes. This "Game"/Sweepstakes is void in Florida, New York, Puerto Rico, and wherever prohibited or restricted by law.
Sponsor, Digital Impact and UMS Fulfillment, Inc. reserve the right, at their sole discretion, to disqualify any individual found, in their sole discretion, to be (a) tampering with the entry process or the operation of the "Game," Sweepstakes, or website; (b) in violation of the Terms of Service of the website, to be acting in violation of the Official Rules; or (c) acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. Any use of robotic, automatic, macro, programmed, third party, or like entry methods will void all such entries, and any entrant using any such method will be disqualified. In the event of a dispute as to entries submitted by multiple users having the same email account, the authorized subscriber of the email account used to play the "Game" or enter the Sweepstakes at the actual time of registration will be deemed to be the entrant and must comply with these rules. By participating in this up2speedSM Instant Win Game and Sweepstakes for the SBC Cotton Bowl, entrants hereby agree to all personal information uses and disclaimers as explained in the above noted privacy policy.
7. Limitation of Liability: SBC, prize suppliers, and the judging organization are not responsible for printing or typographical errors in any "Game"/Sweepstakes-related materials. No responsibility is assumed by SBC for any technical problems in connection with transmission or receipt of entry including faulty electronic data transmissions, traffic congestion on the Internet or on the website, hardware or software, equipment failure or malfunction, or other online communications problems; or stolen, lost, late, misdirected, damaged, incomplete, illegible, or postage-due entries by mail. SBC reserves the right to cancel or modify the "Game"/Sweepstakes if fraud or technical failures compromise the integrity of "Game"/Sweepstakes as determined by SBC in its sole discretion. SBC MAKES NO WARRANTY, EXPRESSED OR IMPLIED, WITH RESPECT TO THE CONDITION OF THE PRIZE, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
8. Arbitration/Choice of Law: Entrants agree that (a) any and all disputes, claims, and causes of action arising out of or connected with this "Game"/Sweepstakes, or any prize awarded, or the determination of the winner shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association, then effective; and (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this "Game"/Sweepstakes but in no event attorney's fees; and (c) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrant, UMS Fulfillment, Inc., Digital Impact, Inc., and Sponsor in connection with the "Game"/Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard for conflicts of law doctrine, and all proceedings shall take place in that State, in the County of Bexar.
